(the "Company") declared a dividend distribution of one right for each outstanding share of Common Stock,. $0.01 par value, of the Company. The distribution is payable on June 9, 1998 to stockholders or record as of the close of business on June 8, 1998. Each right entitles the registered holder to purchase from the Company one one-hundredth of a share of Junior Participating Preferred Stock at a price of $125 per one-hundredth of a share, subject to adjustment.
